1. Executive Summary & Purpose
This Comprehensive Refund, Cancellation, and Billing Policy (“Policy”) governs all service agreements, project scopes, and financial transactions between Massive Dynamics USA LLC (“Company,” “we,” “our,” or “us”) and its clients (“Client,” “you,” or “your”).
Because Massive Dynamics USA LLC provides custom digital marketing, search engine optimization (SEO), pay-per-click (PPC) ad management, custom web design, mobile app development, branding, and video post-production services, our resources, human capital, server infrastructure, and third-party software licenses are immediately allocated upon client onboarding or project initiation. This Policy establishes clear guidelines regarding payment terms, cancellation prerequisites, eligibility for refunds, and chargeback prevention.
2. Core Financial & Service Principles
- Custom Labor & Non-Tangible Deliverables: Digital agency services are custom, service-based, and non-tangible. Once labor, strategic planning, wireframing, design, code development, or campaign configuration has begun, fees paid toward those services represent expended time and resources and are non-refundable unless specifically stated under Section 3.
- No Guarantee of Specific Business Results: While Massive Dynamics uses industry-standard methodologies, skilled professionals, and commercially reasonable efforts to maximize campaign performance, we do not guarantee specific conversion rates, keyword positions, search engine rankings, lead volume, or total sales revenue. Performance fluctuations due to algorithm changes (e.g., Google, Meta), market competition, or economic shifts do not entitle the Client to a refund or fee reduction.
- Client Responsibilities & Project Delays: Timely project completion depends on client collaboration. Massive Dynamics is not liable for project delays caused by a Client’s failure to provide required brand assets, logins, feedback, or content approvals. Delays caused by the Client do not extend refund rights or waive ongoing billing commitments.
3. Expanded Service-Specific Policy Breakdown
Service Category | Scope & Billing Structure | Cancellation Terms | Refund Eligibility & Conditions |
SEO & Organic Marketing | Monthly retainer basis. Includes technical audits, content creation, on-page, and off-page optimization. | Requires a minimum 30 days’ advance written notice prior to the start of the next billing cycle. | Non-Refundable. Retainers cover monthly work performed. Unused portions of a billing cycle are non-refundable once the billing period begins. |
PPC & Paid Ads Management | Monthly management fee for setting up, monitoring, and optimizing ad campaigns (Google Ads, Meta Ads, Snapchat). | Written notice required 14 days before the end of the current billing cycle. | • Agency Fees: Non-refundable once active management for the cycle has begun. • Ad Spend: Direct ad platform costs (paid to Google, Facebook, etc.) are paid directly to those platforms and are non-refundable by Massive Dynamics. |
Web Design & Web Development | Fixed-fee or milestone-based projects (WordPress, Shopify, ASP.NET, Custom Code). | Written cancellation allowed at any project milestone prior to final deployment. | • Before Mockup/Design Phase: Full refund minus a 15% administrative setup fee. • During Active Development: Pro-rated refund based on uncompleted milestones. Completed work/milestones are non-refundable. • Post-Signoff/Launch: 0% refund once final design, code handover, or domain deployment approvals are granted. |

Unearned deposit amounts for unstarted sprints will be refunded. |
Branding & Logo Design | Fixed-price package or customized branding brief. | Cancellation must be received before concept submission. | • Before Concept Delivery: Full refund minus 10% processing fee. • After Concept Delivery: 0% refund once initial concept options or draft proofs have been presented. |
Pay-Per-Project (PPP) & Lead Generation | Performance-based or success-fee agreements (e.g., percentage of gross eligible customer revenue). | Governed by the specific PPP Master Services Agreement (MSA) termination clause (typically 30 days’ notice). | • Success fees are tied strictly to verified converted revenue or qualified leads as defined in the client agreement. • Monthly account reconciliation accounts for cancelled, refunded, or non-paying referred end-clients. |
4. Step-by-Step Cancellation Procedure
- Written Cancellation Requirement: To request a project cancellation or retainer termination, the Client must send a formal email request directly to brian@massivedynamicsusa.com or support@massivedynamicsusa.com. Cancellations communicated via phone calls, live chat, or messaging apps are not legally binding until acknowledged in writing by an authorized representative of Massive Dynamics.
- Immediate Work Freeze: Upon receipt of a valid cancellation request, Massive Dynamics will halt all active design, development, content creation, or ad spend optimization on the specified account.
- Deliverable Transfer & Asset Handover: Provided all outstanding invoices and balance payments for completed labor are paid in full, Massive Dynamics will transfer ownership of all completed, paid-for assets, design source files, domain transfers, and code repositories within fourteen (14) calendar days.
- Account Offboarding: Client access to shared agency tooling, premium plugin licenses hosted under Massive Dynamics, and staging servers will be revoked upon final billing settlement.
5. Refund Evaluation, Processing, & Exclusions
- Review Period: All refund claims undergo an internal audit by the Massive Dynamics finance and project management teams within seven (7) business days of written submission.
- Disbursement Method: Approved refunds will be returned exclusively to the original credit card, debit card, or bank account used for the initial transaction within 10 to 14 business days following approval.
- Non-Refundable Administrative & Third-Party Expenses: The following items are non-refundable regardless of project cancellation timing:
- Domain name registrations, transfers, and privacy protections.
- Third-party web hosting, SSL certificates, or specialized SaaS platform fees purchased on behalf of the client.
- Paid API licenses, stock imagery, premium font software, or third-party plugins.
- Payment gateway processing fees (e.g., credit card transaction fees charged by payment processors).
6. Chargebacks, Merchant Disputes, & Anti-Fraud Policy
Massive Dynamics USA LLC actively protects its business against fraudulent chargebacks and unverified payment disputes.
- Mandatory Dispute Escalation: Client explicitly agrees to contact Massive Dynamics directly to resolve any invoice discrepancies or service dissatisfaction prior to contacting their bank or credit card company to file a chargeback or merchant dispute.
- Chargeback Defense: In the event of an unauthorized or unilateral chargeback, Massive Dynamics reserves the right to submit all project contracts, email communications, time-tracking logs, work approvals, and IP access logs to the payment merchant or financial institution to contest the claim.
- Collection & Legal Recovery: If a chargeback is fraudulently initiated for services already delivered, Massive Dynamics reserves the right to suspend all active websites/apps, revoke software access, and pursue legal recovery for the disputed amount, along with legal fees, administrative charges, and collection agency costs.
7. Inactive Projects & Abandonment Policy
If a client fails to provide required assets, feedback, logins, or approvals necessary to advance a design or development project for a period of forty-five (45) consecutive calendar days, the project will be officially classified as “Abandoned”.
- Abandoned projects will be placed on administrative hold and archived.
- All payments made toward an abandoned project are non-refundable.
- Reactivating an abandoned project requires a written request and a 20% Project Reactivation Fee based on the total remaining contract value.
8. Governing Law & Policy Updates
This Policy shall be governed by and construed in accordance with the laws of the State of Rhode Island / United States, without regard to its conflict of law principles. Massive Dynamics USA LLC reserves the right to modify, amend, or update this Policy at any time without prior notice. The updated terms will become effective immediately upon being published on the official company website.
